1. Acceptance of these Terms

By accessing or using ProfilePulse (the "Service"), available at https://app.profilepulse.io/, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

ProfilePulse helps local businesses manage their Google Business Profile by:

• Scheduling and auto-publishing image posts to your profile;
• Generating and publishing short videos;
• Tracking reviews and drafting AI-assisted replies for your approval or automatic sending;
• Sending review-request emails and text messages to your customers;
• Managing multiple business locations and team members with role-based permissions; and
• Connecting to third-party apps (for example, through Zapier) to trigger review requests.

We may add, change, or remove features at any time. The Service depends on third-party platforms (such as Google) whose availability and policies are outside our control.

3. Accounts and eligibility

You must be at least 18 years old and sign in using a valid Google account connected to the Google Business Profile you wish to manage. You are responsible for maintaining the security of your account and for all activity that occurs under it. You agree to provide accurate information and to keep it up to date.

4. Google user data and Limited Use

ProfilePulse's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We only access Google Business Profile data to provide and improve user-facing features of the Service, we do not sell this data, and we do not use it for advertising or transfer it to others except as needed to provide the Service or as required by law.

5. How we share information

We do not sell your personal information. We share it only with:

• Service providers that help us run the Service - for example, Google (publishing to your profile), Stripe (payments), Twilio (SMS delivery), our email delivery provider, AI content providers, Zapier (when you enable it), and our hosting and database providers;
• Your recipients - review requests are delivered to the customers you choose;
• Legal and safety - when required by law or to protect rights, safety, and the integrity of the Service; and
• Business transfers - in connection with a merger, acquisition, or sale of assets, subject to this policy.

6. Customer contacts and mobile information

When you upload or import customer contact details for review requests, you act as the controller of that data and ProfilePulse processes it on your behalf. You are responsible for having a lawful basis and any required consent to contact those individuals. We process this data only to deliver the review requests you configure.

Mobile phone numbers and SMS opt-in or consent data are never shared with third parties or affiliates for their marketing or promotional purposes, and we never sell this information. Phone numbers are used solely to deliver the review-request text messages you configure, and are shared only with our SMS delivery provider (Twilio) as strictly necessary to send those messages on your behalf. Recipients can opt out at any time by replying STOP, or reply HELP for assistance.

7. Free trial

We offer a 14-day free trial for one business location, including a limited number of image and video posts. A payment method is collected at sign-up but is not charged during the trial. Unless you cancel before the trial ends, your subscription automatically begins and your payment method is charged. Only one trial is permitted per account.

8. Subscriptions, billing, and payments

• Pricing. The Service is billed at $100 per business location per month. Each location you activate is a separate subscription with its own monthly billing cycle.
• Payment processor. Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms. We do not store your full card details.
• Auto-renewal. Subscriptions renew automatically each month until cancelled. Adding a location charges that location immediately and starts its own cycle.
• Cancellation. You may cancel a location at any time from your billing settings. Access to that location continues until the end of the current paid period.
• Failed payments. If a charge fails, we may suspend access to the affected location after a short grace period.
• Refunds & taxes. Except where required by law, payments are non-refundable. You are responsible for any applicable taxes.

9. Your content and responsibilities

You retain ownership of the content you provide and the content you authorize us to publish on your behalf (posts, videos, replies, and review requests). You grant ProfilePulse a limited license to process, generate, and publish that content to your connected profiles and to your customers in order to provide the Service.

You are solely responsible for ensuring that:

• You have permission to contact each customer you add or import, and that your review requests comply with all applicable laws - including anti-spam and consent rules for email and SMS (such as CAN-SPAM, TCPA, and similar laws in your jurisdiction);
• Your content does not violate Google's policies, infringe third-party rights, or contain unlawful, misleading, or fake material; and
• You do not solicit, incentivize, or publish fake or deceptive reviews.

10. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose;
• Reverse engineer, scrape, overload, or attempt to gain unauthorized access to the Service or its underlying systems;
• Resell or provide the Service to third parties except as expressly permitted; or
• Violate the terms of any connected third-party platform (Google, Stripe, Twilio, Zapier, and others).

11. Third-party services

The Service integrates with third parties including Google Business Profile, Stripe (payments), Twilio (SMS), email delivery providers, AI content providers, and Zapier. Your use of those integrations is also subject to their respective terms and policies. Our access to and use of information from Google APIs complies with the Google API Services User Data Policy, including its Limited Use requirements. We are not responsible for third-party services or for changes they make.

12. AI-generated content

Some content - including review replies, captions, images, and videos - is generated with the help of artificial intelligence. AI output may be inaccurate or inappropriate. You are responsible for reviewing content before it is published where approval is available, and for the content ultimately published under your profile.

13. Intellectual property

The Service, including its software, design, and branding, is owned by ProfilePulse and protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or to copy or modify the Service.

14. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We do not guarantee any particular search ranking, number of reviews, level of engagement, or business result. We do not warrant that the Service will be uninterrupted, error-free, or secure.

15. Limitation of liability

To the maximum extent permitted by law, ProfilePulse will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three months before the event giving rise to the claim.

16. Indemnification

You agree to indemnify and hold harmless ProfilePulse from any claims, damages, or costs arising out of your content, your use of the Service, your review-request communications, or your violation of these Terms or applicable law.

17. Termination

You may stop using the Service and cancel your subscriptions at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that may harm us or others. On termination, your right to use the Service ends; sections that by their nature should survive will survive.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

19. Governing law

These Terms are governed by the laws of the jurisdiction in which ProfilePulse operates, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction, unless applicable law requires otherwise.

19. SMS / text messaging program

Program name: ProfilePulse Review Requests.

Program description: When a business using ProfilePulse sends a review request, we deliver a text message (SMS) to the customer contact the business provides, inviting that customer to leave a review and including a link to do so. These are transactional messages sent at the business's direction - they are not marketing or promotional campaigns.

Message frequency: Message frequency varies and depends on how often a business sends review requests. A recipient typically receives one message per review request, plus at most one follow-up reminder.

Message and data rates: Message and data rates may apply, depending on your mobile carrier and plan.

Help and opt-out: You can cancel these messages at any time by replying STOP to any message; you will receive a one-time confirmation and no further messages. For help, reply HELP or contact us at support@profilepulse.io. Mobile carriers are not liable for delayed or undelivered messages.

We do not sell or share mobile phone numbers or SMS opt-in / consent data with third parties or affiliates for their marketing or promotional purposes. Such data is used only to deliver the review-request messages described above.
